Course Description: In this module, we will examine the basic principles of UK Company Law, focusing on the nature of companies in legal and economic terms, limited liability, the distribution of power within the company, the position and responsibilities of directors, the relationship between various groups with an interest in the affairs of the company, the company’s ability to make legally binding contracts, how companies are financed, and the fundamental rules governing takeovers and mergers. We will also discuss proposals for reform with reference to recommendations made and international initiatives and developments in Europe and the US. On successful completion of the module, students should be able to: Identify the fundamental principles underlying the operation of companies in the UK.
